Terms of Service

These Terms of Service ("Terms") govern your access to and use of Acticio (the "Service"), operated by Acticio ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use Acticio
You must be at least 18 years old and authorised to act on behalf of your employer or organisation. The account holder is responsible for all activity under their account, including invited team members.
2. Your account
You are responsible for safeguarding your login credentials. Notify us immediately at hello@acticio.com if you suspect unauthorised access. We are not liable for losses arising from compromised credentials that you failed to report.
3. Acceptable use
You agree not to:
- Upload candidate data you do not have a lawful basis to process (see our Privacy Policy).
- Use the Service to make fully automated decisions that produce legal or similarly significant effects on a candidate without human review.
- Reverse-engineer, scrape, or attempt to extract our models, prompts, or proprietary scoring logic.
- Use the Service to send spam, harass candidates, or violate any applicable employment, anti-discrimination, or data-protection law.
- Resell, sublicense, or white-label the Service without a written agreement.
4. Candidate data
When you upload resumes, link candidates' public profiles, or enter candidate information, you act as the data controller and we act as your data processor. You warrant that you have a lawful basis (consent, legitimate interest, contract) to process that data and to share it with us. We process candidate data only to provide the Service to you, as further described in our Privacy Policy.
5. AI output
Acticio uses machine-learning models to score, summarise, and rank candidates. AI output is probabilistic and may contain errors. You must:
- Treat scores and verdicts as decision-support, not decisions.
- Apply human review before rejecting, advancing, or contacting any candidate.
- Comply with all employment laws in your jurisdiction, including New York City Local Law 144, Illinois AIVIA, EU AI Act, and equivalent automated-decision-making rules where they apply.
6. Plans, billing and trials
Free plans include the quotas listed on the pricing page. Paid plans renew on a monthly basis until cancelled. You can change or cancel your plan from the billing settings; cancellations take effect at the end of the current billing cycle. We do not refund unused portions of a billing period unless required by law. We may change pricing on 30 days' notice; your renewal will reflect the new price.
7. Beta features
Features marked beta, preview, or early access are provided "as-is" and may change or be removed without notice. We may use aggregated, de-identified usage data from beta features to improve the Service.
8. Suspension and termination
We may suspend or terminate your account if you breach these Terms, if your use creates a security or legal risk, or if we are required to do so by law. You may delete your account at any time from settings; deletion removes your data within 30 days, except where retention is required by law.
9. Intellectual property
We own the Service, including all software, models, designs, and documentation. You own your candidate data and any content you upload. You grant us a worldwide, non-exclusive licence to process that content solely to operate and improve the Service for you. We will not use your candidate data to train foundation models for third parties.
10. Confidentiality
Each party agrees to protect the other's confidential information with the same care it uses for its own, and to use it only for purposes contemplated by these Terms.
11. Disclaimers
The Service is provided "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI output will be accurate.
12. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
13. Indemnification
You will defend and indemnify us against any third-party claim arising from (a) your unlawful use of the Service, (b) candidate data you uploaded without a lawful basis, or (c) hiring decisions you made based on Service output.
14. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or via the dashboard at least 14 days before it takes effect. Continued use after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Disputes will be resolved in the courts of competent jurisdiction in your billing country, or in India where local law permits.
